1. Eligibility

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

• You are responsible for all activity that occurs under your account.
• You must notify us immediately at help@oatmilk.work if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscription and Payments

• Certain features of the Service require a paid subscription. Pricing and plan details are available on our website.
• Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date.
• All fees are charged in advance and are non-refundable except as required by law or as explicitly stated in our refund policy.
• We reserve the right to change pricing with at least 30 days' notice. Price changes take effect at the start of your next billing cycle.
• If payment fails, we may suspend access to paid features until the balance is resolved.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Interfere with, disrupt, or overburden the Service or its infrastructure
• Attempt to gain unauthorized access to the Service, other accounts, or related systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Scrape, crawl, or use automated means to access the Service without our written consent
• Upload or transmit malware, viruses, or other harmful code
• Harass, abuse, or harm other users
• Impersonate any person or entity, or misrepresent your affiliation
• Use the Service to send unsolicited communications (spam)

5. Your Content

You retain ownership of any content you submit, post, or display through the Service ("Your Content"). By submitting content, you grant Oatmilk a worldwide, non-exclusive, royalty-free license to use, store, reproduce, and display Your Content solely as necessary to operate and provide the Service.

You represent and warrant that you have all necessary rights to the content you submit and that Your Content does not infringe on any third party's rights.

We do not monitor or endorse user content but reserve the right to remove content that violates these Terms.

6. Intellectual Property

The Service, including its design, code, features, logos, and documentation, is owned by Oatmilk and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

7. Third-Party Services

The Service may integrate with or link to third-party services. We do not control and are not responsible for third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OATMILK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Oatmilk and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any third party's rights.

12. Termination

• You may close your account at any time through your account settings or by contacting us at help@oatmilk.work.
• We may suspend or terminate your access at any time, with or without cause, and with or without notice.
• Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (e.g., Limitation of Liability, Indemnification, Governing Law) will continue to apply.
• We may delete your data after account termination in accordance with our Privacy Policy.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.

14. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Oatmilk regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
